In 2012, the investment management practice group of Schulte
Roth & Zabel LLP (SRZ), a leading law firm in the alternative
investment management industry, decided to develop a document
assembly platform to support our private investment fund formation
practice. In fund formation engagements, aorneys counsel clients
on the legal and business aspects of forming asset management
companies and investment funds. Our aorneys educate clients on the
regulatory landscape, advise how best to structure a new business and
determine the funds' terms.
As part of the process, SRZ aorneys typically prepare about
40 documents, including prospectuses and partnership, subscription
and investment management agreements. This copious document
preparation drove the decision to develop a document assembly
platform, which we believed would provide the following advantages:
» Draing documents more quickly would support SRZ's
commitment to respond swily to clients' fundraising goals.
» Private investment fund documents include multiple agreements
whose terms must be nearly identical and accurately disclosed in
the offering documents. A significant part (and cost) of preparing
these documents involves ensuring consistency among the
documents. Document assembly would allow us to develop
consistent forms all draed applying the same logic, significantly
reducing both the risk of errors and costs.
» We wanted to avoid the cumulative effect of rate increases and
keep our fees competitive.
